1. Acceptance of Terms

By accessing or using Clarity Talk, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

2. Description of Service

Clarity Talk provides AI-powered conversation analysis software. The service includes desktop and mobile applications, a web dashboard, subscription management, and related support services. Analysis is performed using third-party AI models and the results are for informational purposes only.

3. Account Registration

To use Clarity Talk, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payment

Clarity Talk offers subscription-based and credit-based access to its features:

  • Subscriptions are billed monthly or annually
  • Payments are processed securely through Stripe
  • You may cancel your subscription at any time; access continues until the end of your billing period
  • Refunds are available within 30 days of initial purchase
  • Analysis credits purchased as one-time packs never expire and are non-refundable
  • Monthly analysis allowances reset each billing cycle and do not roll over
  • BYOK (Bring Your Own Key) users are responsible for their own AI provider API usage and costs
  • We reserve the right to change pricing with 30 days' notice; existing subscriptions are honored through their current billing period

5. Practice, Firm, and Consultant Accounts

Additional terms apply to professional accounts:

  • Practice accounts: The practice administrator is responsible for managing seats and ensuring all members comply with these terms.
  • Firm accounts: Firm administrators are responsible for seat management, case tracking, and ensuring use complies with applicable legal and ethical obligations.
  • Forensic consultants: You are responsible for ensuring your use of Clarity Talk complies with applicable rules of evidence and professional standards in your jurisdiction.
  • Partner referrals: Referral payouts are subject to a $25 minimum threshold and paid via Stripe Connect. We reserve the right to suspend payouts in cases of suspected fraud.

6. Acceptable Use

You agree to use Clarity Talk only for lawful purposes. You may not:

  • Use the service to analyze conversations without the consent of at least one participant, as required by applicable law
  • Reverse engineer, decompile, or attempt to extract the source code
  • Share your account credentials or license key with others
  • Use the service to harass, stalk, or harm others
  • Circumvent rate limits, abuse prevention measures, or access controls
  • Use the service to generate false or misleading evidence
  • Resell or redistribute the service without authorization

7. Forensic Exports and Legal Use

Clarity Talk offers forensic export and court-ready report features. These tools are provided to assist legal professionals and are not a substitute for professional legal judgment. We make no representations about the admissibility of any output in any jurisdiction. You are solely responsible for verifying that any analysis or report meets the evidentiary standards of your jurisdiction before use in legal proceedings.

If you access ClarityTalk through a law firm's referral link, you consent to the transmission of your conversation content and analysis results to the referring firm. The firm is responsible for its use of received data in accordance with applicable legal and ethical obligations. ClarityTalk acts as a data processor; the firm is the data controller for referred user data.

8. Intellectual Property

Clarity Talk and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws. Your conversation data and analysis results remain yours.

9. Disclaimer of Warranties

Clarity Talk is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The analysis provided by our software is for informational purposes only and should not be considered professional advice. Always consult with appropriate professionals for relationship, mental health, or legal matters. We do not guarantee the accuracy, completeness, or reliability of any analysis output.

10. Limitation of Liability

To the maximum extent permitted by law, Clarity Talk and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service, including but not limited to damages for loss of profits, data, or other intangible losses. Our total liability for any claim arising from these terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Clarity Talk and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the service ceases immediately
  • We may delete your account data after 30 days
  • Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability

You may terminate your account at any time by contacting us or using the account deletion feature.

13. Dispute Resolution

Any dispute arising from these terms or your use of the service shall first be attempted to be resolved through informal negotiation by contacting us at legal@clarity.talk. If the dispute cannot be resolved informally within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes by posting the new terms on this page, updating the "last updated" date, and where appropriate, notifying you by email. Your continued use of the service after changes take effect constitutes acceptance of the revised terms.
